End-User License Agreement

This End-User License Agreement (“Agreement”) governs your use of software developed and operated by Entrpy, LLC (“Entrpy”, “we”, “our”), a South Carolina limited liability company.
1. License grant
Subject to this Agreement, Entrpy grants the contracting client a non-exclusive, non-transferable, revocable license to use the software solely for the internal business purposes set out in the engagement agreement between Entrpy and the client. Software delivered under a consulting engagement is licensed, not sold.
2. Restrictions
You may not (a) sublicense, sell, or redistribute the software; (b) reverse engineer, decompile, or attempt to derive source code except to the extent permitted by applicable law; (c) use the software to violate any law or third-party right; or (d) remove proprietary notices.
3. Third-party services
The software integrates with third-party services (including Intuit QuickBooks Online, HubSpot, Google, and others) on the client’s behalf using credentials the client provides. The client is responsible for compliance with each third-party service’s terms.
4. No warranty
The software is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as expressly stated in a separately signed engagement agreement.
5. Limitation of liability
To the maximum extent permitted by law, Entrpy will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. Entrpy’s aggregate liability for any claim arising out of or relating to this Agreement is limited to the fees paid by the client to Entrpy in the twelve months preceding the claim.
6. Termination
The license terminates automatically if you breach this Agreement. On termination, you must cease use of the software and disconnect any third-party integrations granted to it.
7. Governing law
This Agreement is governed by the laws of the State of South Carolina, without regard to conflict-of-laws principles.
